This book is a pioneering effort. Not a single book exists today for either a specialist or layman that seeks to render legal strategy intelligible to the business executive. Naturally, there are difficulties inherent in this task. First, there is the essential task of presenting legal issues in a way that business executives can understand. The author has identified practical case studies where these issues were encountered. Each point made is illustrated with one or more cases. Second, there is the matter of mapping the author’s litigation rules into a simple intelligible format. The work is broken down into four broad sections:The five golden conditions precedent that must be achieved before adopting a legal recourse, in court or outside it. The five preparatory steps that must precede all legal recourse. The seven rules of legal strategy. The seven rules of legal tactics. Third, there is the business of presenting the material in an easily digested format. The author introduces the rule, illustrates its application with case material, and then sets out the conclusions at the end in a simple capsule. Fourth, the author seeks to make the book user-friendly by making each rule self-contained in a single chapter of twenty odd pages, enabling busy executives to absorb the message a bit at a time: in bed at the end of a long day, in a hotel lobby, in a flight, between meetings or on a weekend. The book can be browsed as easily as it can be read cover to cover. An exhaustive index at the end permits easy cross-referencing. Finally, there is the question of paradigms. Lawyers and business executives have often been seen to live in worlds apart, one coming from a technical view of the world while the other is pragmatic. The author draws on his extensive experience of corporate law practice to bridge the gap between the lawyer and the business executive. The book is written with the layman in mind, and all legal issues are explained in a way that business executives can understand.
